The Service is designed for organizations requiring provably fair, transparent, and auditable random selection for prize draws, lotteries, contests, gaming, and other applications requiring verifiable randomness.
3.1 Eligibility: You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3.2 Account Information: You must provide accurate, current, and complete information during registration and keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials.
3.3 Account Security: You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized access or security breach.
4.1 Plans: TrustDraw offers multiple subscription tiers (Free, Starter, Pro, Premium, and Enterprise) with different features, draw limits, and pricing. Current plan details and pricing are available on our website. Free tier includes 10 draws per month with 1 winner per draw. Paid tiers range from $19/month (Starter: 50 draws, up to 10 winners) to $99/month (Premium: 500 draws, up to 500 winners). Enterprise plans with custom volumes are available upon request.
4.2 Payment Processing: All payments are processed by Paddle.com Market Limited ("Paddle"), our authorized payment processor and Merchant of Record. By subscribing to a paid plan, you agree to Paddle's terms and authorize Paddle to charge your designated payment method.
4.3 Billing Cycle: Subscriptions are billed on a recurring basis according to your selected billing cycle (monthly or annually). Charges occur at the beginning of each billing period.
4.4 Price Changes: We reserve the right to modify subscription pricing. Price changes will not affect your current billing period and will take effect at your next renewal. We will provide at least 30 days' notice of any price increases.
4.5 Taxes: Prices are exclusive of applicable taxes (including VAT, GST, or other sales taxes). You are responsible for all taxes associated with your subscription. Paddle will calculate and collect applicable taxes based on your billing location.
4.6 Usage Limits: Each subscription tier includes a specific number of draws per billing period. Additional draws beyond your plan limits may be subject to overage charges or require an upgrade to a higher tier.
5.1 No Refunds: All subscription fees are non-refundable. We do not provide refunds or credits for partial subscription periods, unused draws, or any other circumstances.
5.2 Cancel Anytime: You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period, and you will retain access to the Service until that date.
5.3 Post-Cancellation: After cancellation, you will be downgraded to the Free tier (if available). Your draw history and blockchain records remain accessible according to your new plan's retention policies.
5.4 Failed Payments: If a payment fails, we may suspend or terminate your access to paid features until payment is successfully processed. We are not liable for any consequences resulting from payment failures.

7.1 Our Rights: The Service, including all software, text, graphics, logos, and other content, is owned by MC2 NB Energy Limited and protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
7.2 Your Data: You retain all rights to the data you input into the Service (draw parameters, titles, descriptions). You grant us a license to use this data solely to provide and improve the Service.
7.3 Blockchain Data: Draw results recorded on public blockchains are permanently publicly accessible by design. By using the Service, you acknowledge that blockchain-recorded data cannot be deleted or modified.
Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

9.1 Availability: We strive to provide reliable Service availability but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, network issues, or blockchain network congestion.
9.2 Modifications: We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification or discontinuation.
9.3 Blockchain Dependencies: The Service relies on third-party blockchain networks (Polygon, Base) and Chainlink VRF. Network outages, delays, or increased transaction costs are beyond our control.
10.1 Service "AS IS": The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
10.2 No Liability for Draw Outcomes: While we provide cryptographically secure random number generation, we do not control how you use draw results. You are solely responsible for ensuring your use of the Service complies with applicable laws, regulations, and the terms of your own contests or draws.
10.3 Limitation of Damages: To the maximum extent permitted by law, MC2 NB Energy Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
10.4 Maximum Liability: Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
10.5 Legal Compliance: You are responsible for ensuring your use of the Service complies with all applicable laws in your jurisdiction. We disclaim all liability for your violation of laws or regulations.
You agree to indemnify, defend, and hold harmless MC2 NB Energy Limited, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
12.1 Term: These Terms remain in effect while you use the Service.
12.2 Termination by You: You may terminate your account at any time by canceling your subscription and ceasing to use the Service.
12.3 Termination by Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. We may also terminate accounts with prolonged inactivity.
12.4 Effect of Termination: Upon termination, your right to use the Service ceases immediately. Blockchain-recorded draw data remains permanently accessible on public blockchains. Provisions of these Terms that by their nature should survive termination shall survive.
13.1 Governing Law: These Terms are governed by the laws of Ireland, without regard to conflict of law principles.
13.2 Jurisdiction: You agree to the exclusive jurisdiction of the courts of Ireland for any disputes arising from these Terms or your use of the Service.
13.3 Informal Resolution: Before filing any formal dispute, you agree to contact us at info@trustdraw.com to attempt to resolve the matter informally.
14.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and MC2 NB Energy Limited regarding the Service and supersede all prior agreements.
14.2 Amendments: We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
14.3 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
